Neam Apparel uses the Shopify platform, which enables us to provide the Services to you.

When you place an order, you are making an offer to purchase. Neam Apparel reserves the right to accept or decline your order for any reason, at its sole discretion. Your order is considered accepted only after written confirmation from Neam Apparel. We must receive and process your payment before your order is validated. Please review your order carefully before submitting it, as Neam Apparel may not be able to accept cancellation requests once the order is confirmed.
If we modify or cancel an order, we will attempt to notify you by contacting the email address, billing address and/or phone number provided when the order was placed.
Your purchases are subject to the return or exchange terms set out in our Return and Exchange Policy.
You represent and warrant that your purchases are for personal or household use only and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect when the order is placed and will be shown in your order confirmation email. Unless expressly stated otherwise, displayed prices do not include taxes, shipping charges, handling fees, customs duties or import fees.

SECTION 5 - SHIPPING AND DELIVERY
We cannot be held responsible for delivery or shipping delays. All delivery times provided are estimates and are not guaranteed. We disclaim liability for delays caused by carriers, customs procedures or events beyond our control. Once products are handed over to the carrier, ownership and risk of loss transfer to you, subject to applicable consumer protection laws.

Our Services, including without limitation all trademarks, brands, text, displays, images, graphics, product reviews, videos and audio content, together with their design, selection and arrangement, are the exclusive property of Neam Apparel, its affiliates or licensors and are protected by applicable Canadian, U.S. and international patent, copyright and intellectual property laws.

You may not use them without prior written permission from Neam Apparel. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans on the Services are trademarks of their respective owners.

You may be provided with access to third-party tools through the Services that we do not monitor and over which we have no control or input.
You acknowledge and agree that we provide access to such tools “as is” and “as available,” without warranties, representations or conditions of any kind and without endorsement. We will have no liability arising from or relating to your use of optional third-party tools.

Neam Apparel is powered by Shopify, which enables us to provide the Services to you. However, any sale or purchase made in our Store is made directly with Neam Apparel. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sales between you and Neam Apparel, including damages, harm or losses resulting from products or services purchased.
You expressly release Shopify and its affiliates from claims, damages and liability arising out of or related to your purchase and transaction with Neam Apparel.

SECTION 10 - PRIVACY POLICY
All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may also be subject to Shopify's privacy policies. By using the Services, you acknowledge that you have read these privacy policies.

14.4 Agents must: (i) in all HTTP/HTTPS requests, indicate that the request originates from an Agent and disclose the Agent's name by including the following statement in the user-agent string: “Agent/[agent name]”; (ii) not conceal or obscure the fact that access, use or interactions originate from an Agent, including by (a) mimicking human behavior or interaction patterns, or (b) circumventing or completing CAPTCHAs or measures designed to distinguish computer use from human use; (iii) answer truthfully any question or prompt intended to determine whether interactions originate from a human or a computer; and (iv) not circumvent or avoid any measure designed to block, limit, modify or control Agents' access, use or interactions with the Services.

We reserve the right to terminate this agreement or your access to the Services (or any part of them), at our sole discretion, at any time and without prior notice. You remain liable for all amounts due up to and including the date of termination.
The following provisions survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature is intended to survive termination.

WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE EXCLUSION OF IMPLIED OR OTHER WARRANTIES, SO THESE EXCLUSIONS MAY NOT APPLY TO YOU.

SECTION 17 - LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Neam Apparel, OUR PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM OR ANY DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, REVENUE, SAVINGS OR DATA, REPLACEMENT COSTS OR SIMILAR DAMAGES, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT OBTAINED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SECTION 18 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Neam Apparel, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any loss, damage, liability or claim, including reasonable legal fees, made by a third party arising from: (1) your breach of these Terms of Service or the documents incorporated by reference; (2) your violation of any law or third-party right; or (3) your access to and use of the Services.
We will notify you of any claim covered by this indemnity. A failure to provide prompt notice will not relieve you of your obligations except to the extent you are materially prejudiced. We may assume the defense and settlement of any claim at your expense, including selection of legal counsel, but we will not settle a claim that imposes non-monetary obligations on you without your consent, which will not be unreasonably withheld. You agree to cooperate in the defense of covered claims, including by providing relevant documents.

SECTION 19 - SEVERABILITY
If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, that provision will nevertheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion will be deemed severed from these Terms. Such determination will not affect the validity and enforceability of the remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms of Service does not constitute a waiver of that right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect of the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, including prior versions of the Terms of Service.
Any ambiguity in the interpretation of these Terms of Service will not be construed against the drafting party.

These Terms of Service and any separate agreements through which we provide the Services will be governed by and construed in accordance with the federal laws and the laws of the province, state or territory of the courts having jurisdiction where Neam Apparel has its registered office. You and Neam Apparel expressly consent to the territorial and personal jurisdiction of those courts.
